1. Acceptance of Terms

Welcome to Everynook. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and EveryNook, LLC ("Everynook", "we", "us", or "our"), governing your access to and use of our website at everynook.com and its subdomains, as well as all related services, features, and content (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

2. Eligibility

You must be at least 18 years of age to use our Services. By creating an account, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into these Terms, and that all information you provide is accurate and complete.

Certain features of the platform are intended for licensed real estate professionals. By accessing agent-specific features, you represent that you hold a valid real estate license in the applicable jurisdiction.

3. Your Account

To access certain features of our Services, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account, whether or not authorized by you.
  • Notifying us immediately of any unauthorized use of your account or any other breach of security.
  • Keeping your account information accurate and up to date.

We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms or engaged in conduct that is harmful to other users, our business, or third parties.

4. Acceptable Use

You agree to use our Services only for lawful purposes. You shall not:

  • Violate any applicable federal, state, local, or international law or regulation.
  • Use the Services for any fraudulent, deceptive, or misleading purpose.
  • Attempt to gain unauthorized access to any part of the Services, other user accounts, or any systems or networks connected to the Services.
  • Upload, transmit, or distribute any viruses, malware, or other malicious code.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Scrape, harvest, or collect information from the Services through automated means without our prior written consent.
  • Use MLS data obtained through the Services for any purpose other than identifying prospective properties of interest.
  • Reproduce, redistribute, or display MLS data in any manner not expressly authorized by the applicable MLS organization.
  • Impersonate any person or entity, or falsely claim an affiliation with any person or entity.
  • Post or transmit content that is defamatory, obscene, threatening, or otherwise objectionable.

5. Intellectual Property

5.1 Our Content

The Services, including all text, graphics, logos, icons, images, audio clips, software, and other content, are owned by or licensed to EveryNook, LLC and are protected by United States and international copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, transmit, display, reproduce, publish, license, or create derivative works from any content obtained from the Services without our prior written consent.

5.2 Your Content

You retain ownership of any content you submit, upload, or create through the Services ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and display your content solely for the purpose of providing and improving the Services.

You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe the intellectual property rights or other rights of any third party.

5.3 MLS Data

Property listing data displayed through our Services is provided by the BRIGHT Internet Data Exchange program and is subject to the terms and conditions of the applicable MLS organization. This data is intended for the personal, non-commercial use of consumers and may not be used for any purpose other than identifying prospective properties of interest.

6. Fees and Payment

Certain features of the Services may require payment of fees. If applicable, you agree to pay all fees associated with your use of paid features. We reserve the right to change our fee structure at any time upon reasonable notice. All fees are non-refundable unless otherwise stated or required by law.

7. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure. We do not guarantee the accuracy, completeness, or reliability of any content, including MLS data, property information, or user-generated content available through the Services.

Everynook is a technology platform and does not provide real estate brokerage, legal, financial, or tax advice. Any information provided through the Services is for informational purposes only and should not be relied upon as professional advice.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EVERYNOOK, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE).

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to indemnify, defend, and hold harmless EveryNook, LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) your User Content.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us.

Upon termination, your right to use the Services will immediately cease. Any provisions of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.

We may retain your data as required by law or for legitimate business purposes, including compliance with real estate document retention requirements.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles. Any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the state or federal courts located in Howard County, Maryland, and you consent to the personal jurisdiction and venue of such courts.

Before filing any legal claim, you agree to attempt to resolve any dispute informally by contacting us at info@everynook.com. We will attempt to resolve the dispute informally within thirty (30) days. If the dispute is not resolved within that period, either party may proceed with formal legal proceedings.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and may notify you by email or through a prominent notice on our Site. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and EveryNook, LLC regarding your use of the Services and supersede all prior agreements, understandings, and communications, whether written or oral.
